Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Blackwell platform and services, including all software, applications, APIs, dashboards, and related services (collectively, the “Services”) provided by Blackwell Maritime Intelligence Ltd (“Blackwell”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

1. Services

Blackwell provides maritime operational intelligence software including but not limited to fleet tracking, crew management, weather intelligence, supply chain coordination, and vessel communication tools. The specific features available to you depend on the subscription plan or agreement in place between Blackwell and your organisation.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

2. Accounts and Access

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.

You may not share account credentials with individuals outside your licensed user count. Enterprise accounts are subject to the user limits specified in your subscription agreement.

3. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation, including international sanctions regimes
  • Transmit false, misleading, or fraudulent maritime position data
  • Reverse engineer, decompile, or attempt to extract source code from the platform
  • Use the Services to facilitate sanctions evasion, dark fleet operations, or any activity that violates international maritime law
  • Resell, sublicense, or otherwise transfer access to the Services without our written consent
  • Interfere with or disrupt the integrity or performance of the platform

Blackwell reserves the right to suspend or terminate access for violations of this section without notice.

4. Data and Intellectual Property

Blackwell retains all intellectual property rights in the Services, including the underlying software, algorithms, data models, and interface design. Your use of the Services does not grant you any ownership rights in our technology.

You retain ownership of data you input into the Services. By using the Services, you grant Blackwell a limited licence to process that data solely to provide the Services to you.

Aggregated, anonymised operational data may be used by Blackwell to improve platform performance and develop new features, subject to our Privacy Policy.

5. Payment and Subscription

Fees for the Services are set out in your subscription agreement or order form. All fees are due in accordance with the payment terms specified therein. Blackwell reserves the right to suspend access to the Services for non-payment after reasonable notice.

All fees are exclusive of applicable taxes. You are responsible for any taxes applicable to your use of the Services in your jurisdiction.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Blackwell shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of revenue, loss of data, or business interruption.

Blackwell’s total aggregate liability arising out of or related to these Terms shall not exceed the fees paid by you to Blackwell in the twelve months preceding the claim.

The Services provide operational intelligence support. Final operational decisions remain the sole responsibility of the operators using the platform. Blackwell does not warrant that the Services will prevent accidents, regulatory violations, or operational failures.

7. Warranties and Disclaimers

The Services are provided “as is” and “as available”. Blackwell makes no warranties, express or implied, regarding the accuracy, completeness, or reliability of any data provided through the Services, including vessel position data, weather intelligence, or sanctions screening outputs.

Satellite and AIS data is subject to coverage limitations, signal loss, and deliberate manipulation by third parties. Operators should not rely solely on Blackwell data for safety-critical decisions.

8. Termination

Either party may terminate the subscription with notice as specified in the relevant agreement. Upon termination, your access to the Services will cease and Blackwell will retain your data for the period specified in the Data Processing Agreement, after which it will be deleted.

Blackwell may terminate access immediately for material breach of these Terms, including violations of the Acceptable Use Policy.

9. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
